DepositBankmeans,atanytime,aNewZealandregisteredbankusedbytheSecured

Partyatthattimeforthepurposeofholdingcashdepositsfromparticipantsinaccordance

withtheCode;

EarningsmeansallmoneypaidorotherwisecreditedtotheSecuredPartybytheDeposit

BanksduringthecurrencyofthisDeedarisingoutof,orinconnectionwith,theDeposit;

EventofDefaultbearsthemeaninggiventothattermintheCode;

PPSAmeansthePersonalPropertySecuritiesAct1999;

SecuredIndebtednessmeansallindebtednessoftheDebtortotheSecuredPartyunder

theCode;and

SecuredPropertymeansallpresentandfutureright,titleandinterest(legalandequitable)

oftheDebtorarisingoutof,orinconnectionwith,theDepositincluding,butnotlimitedto,all

proceedsofthatproperty.

1.2Constructionofcertainreferences

InthisDeed,unlessthecontextotherwiserequires:

anagreementincludesacontract,deed,licence,undertakingandotherdocumentorlegally

enforceablearrangement(ineachcase,whetherornotinwriting,presentandfuture)and

includesthatdocumentasamended,assigned,novatedorsubstitutedfromtimetotime;

costsincurredbyapersonincludeallcommissions,charges,losses,expenses(including

legalfeesonasolicitorandownclientbasis)andtaxesincurredbythatperson;

indebtednessincludesanyobligation(whetherpresentorfuture,actualorcontingent,

securedorunsecured,jointorseveral,asprincipal,suretyorotherwise)relatingtothe

paymentofmoney;

propertyincludesthewholeandanypartoftherelevantperson\'sbusiness,assets,

undertaking,revenuesandrights(ineachcase,presentandfuture),andreferencetoany

propertyincludesanylegalorequitableinterestinit;

apartytothisDeedoranotheragreementincludesitssuccessorsanditspermitted

assigneesandtransferees;and

referencetoastatute,regulationorruleincludesreferencetoregulations,orders,directions

ornoticesmadeunderorpursuanttosuchstatute,regulationorruleandallamendmentsto

thatstatute,regulationorrulewhetherbysubsequentstatute,regulation,rulechangeor

otherwiseandastatute,regulationorrulepassedinsubstitutionforthestatute,regulationor

rulereferredtoorincorporatingtherelevantprovisions.

IftheSecuredPartyconsidersthatanamountpaidbytheDebtorundertheCodeiscapable

ofbeingavoidedorotherwisesetasideontheliquidationoftheDebtororotherwise,then

thatamountshallnotbeconsideredtohavebeenirrevocablypaidforthepurposesofthe

CodeorthisDeed.

(a)anagreementthatasecurityinterestunderthisDeedattachesatalatertimethanthe

(b)anagreementtosubordinateasecurityinterestunderthisDeedinfavourofany

3.1Security

TosecureduepaymentoftheSecuredIndebtednessandperformanceoftheDebtor’s

obligationstotheSecuredPartyundertheCode,theDebtorgrantstotheSecuredPartya

securityinterestintheSecuredProperty.

3.2Furtherassurance

OntherequestoftheSecuredParty,theDebtormust,atitsowncost,promptlyexecuteand

delivertotheSecuredPartyalldocuments,anddoanythingelsethattheSecuredParty

deemsappropriate,orisotherwiserequiredundertheCode,to:

(a)obtainthepriorityrequiredbytheSecuredParty;or

(b)perfectasecurityinterestintendedtobecreatedunderthisDeed;or

(c)securetotheSecuredPartythefullbenefitofitsrightsunderthisDeed;or

(d)assignabsolutelytotheSecuredPartyanySecuredProperty.

3.3Releaseofsecurity

IftheDebtorceasestobeaparticipant(asthattermisdefinedinPart1oftheCode)under

theCodeand,intheopinionoftheSecuredParty:

(a)theDebtorhaspaidalltheSecuredIndebtedness;and

(b)thereisnoreasonablepossibilitythatanySecuredIndebtednessreceivedbythe

SecuredPartywillhavetoberepaidunderanyapplicablelaw,

theSecuredPartywillpaytotheDebtoranamountequaltotheDeposit.

3.4Negativepledge

TheDebtormustnot,withouttheSecuredParty’spriorwrittenconsent,create,allowtobe

createdorpermittoexist,anysecurityinterestoveranySecuredProperty(otherthanin

favouroftheSecuredParty).

4.1RepresentationsrelatingtoSecuredProperty

TheDebtorrepresentsthat:

(a)Abilitytocreatesecurity

itisentitledtocreateasecurityinterestin,andtoassign,theSecuredPropertytothe

SecuredPartyandhasobtainedallconsentsneededtoenableittodoso;and

(b)Nosecurityinterests

thesecurityinterestcreatedbythisdeedisfirstrankingandnosecurityinterestexists

overoraffects,noristhereanyagreementtogiveorpermittoexistanysecurity

interestoveroraffecting,anySecuredPropertyexceptascreatedorpermittedbythis

Deed.

4.2Generalrepresentations

TheDebtorrepresentsthat:

(a)Existence,powerandauthority

itisincorporated,hasfullpowerandauthoritytoenterintoandcomplywithits

obligationsunderthisDeedandhastakenallcorporateandotheractionandobtained

allconsentsneededtoenableittodoso;and

(b)Obligationsenforceable

itsobligationsunderthisDeedarelegal,valid,bindingandenforceableinaccordance

withtheirrespectiveterms,subjecttoequitableprinciplesandinsolvencylawsof

generalapplication.

4.3Representationscontinuing

Eachoftherepresentationsinthisclause4willbedeemedtoberepeatedcontinuouslyso

longasthisDeedremainsineffectbyreferencetothefactsandcircumstancesthenexisting.

5.1RightsofSecuredPartyfollowingdefault

IfanEventofDefaultoccurs:

(a)thesecurityinterestcreatedunderthisDeedwillbecomeimmediatelyenforceable;

and

(b)inadditionto,andwithoutlimiting,itsrightsundertheCode,theSecuredParty:

(i)may,inthenameoftheDebtororotherwise,atanytime,doanythingthatthe

DebtorcoulddoinrelationtotheSecuredProperty;

(ii)hasalltherightsofanaturalpersoninrelationtotheSecuredProperty;and

5.2Waiverofrights

TheDebtor:

(a)hasnorightsunder,orbyreferenceto,sections114(1)(a),133and134ofthePPSA;

(i)receiveastatementofaccountundersection116ofthePPSA;

(ii)receivenoticeofanyproposaloftheSecuredPartytoretaincollateralunder

section120(2)ofthePPSA;and

(iii)objecttoanyproposaloftheSecuredPartytoretaincollateralundersection

121ofthePPSA.

6.1Proceedsofenforcement

Totheextentpermittedbylaw,allmoneyarisingfromorinconnectionwiththeexerciseof

designatedforthepurposebytheaddresseetotheotherparty,orotherwisedeterminedin

8.2Deemeddelivery

11.3Counterparts

ThisDeedmaybesignedinanynumberofcounterparts(includingfacsimileorPDF

counterparts)allofwhich,whentakentogether,willconstituteoneandthesameinstrument.

11.4EnforcementbytheSecuredParty
