\"Vessel\"meansanywaterbornecraftusedintheCarriageunderthisbillofladingincludingbutnotlimitedtooceanvessels,feedervesselsandinlandwater

vesselswhethernamedinthebillofladingorsubstitutedvessels.

CTINGPARTIES

2.1Byacceptingthisbilloflading,theMerchantconfirmsandagreesthattheCarrier’sAgentsactastheCarrier\'sagentsonlyandthattheMerchanthasno

claimagainsttheCarrier’sAgentsforanyclaimsarisingoutoftheCarriage.

R’STARIFF

3.1TheprovisionsoftheCarrier’sapplicabletariff,ifany,ularattentionisdrawntotheprovisionstherein,ifany,relatingtofree

ofsuchprovisionsareobtainablefromtheCarrierorhisagentsuponrequestor,where

applicable,aseofinconsistencybetweenthisbillofladingandtheapplicabletariff,thisbill

ofladingshallprevail.

ABILITY

4.1Thisbillofladingshallbenon-negotiableunlessmadeout\"toorder\"inwhicheventitshallbenegotiable.

4.2ThisbillofladingshallbeprimafacieevidenceonlyoftheCarriertakingtheGoodsdescribedinthebillofladingunderitscontrol,providedthatandonly

totheextenttheCarrierhadreasonablemeansofcheckingtheGoods.

-CONTRACTINGANDINDEMNITIES

5.1TheCarriershallbeentitledtosub-contractonanytermswhatsoeverthewholeoranypartoftheCarriageandtheMerchantagrees(totheextentthatthe

MerchantisentitledtobringclaimsagainstSub-Contractors)thatanySub-Contractorcan,atitsoption,applyitsowntermsofcontractwiththeCarrierto

defendclaimsbroughtbytheMerchant.

5.2TheMerchantundertakes:

(a)thatnoclaimorallegationshallbemadeagainstanySub-Contractorwhatsoever,whetherdirectlyorindirectly,whichimposesorattemptstoimposeupon

anySub-ContractoranyliabilitywhatsoeverinconnectionwiththeGoodsortheCarriageoftheGoods,whetherornotarisingincontract,bailment,tort,

negligence,breachofexpressorimpliedwarrantyorotherwise;and

(b)ifanyclaimorallegationshouldneverthelessbemadeagainstaSub-Contractor,toIndemnifytheCarrieragainstallconsequencesthereof.

5.3WithoutprejudicetotheotherprovisionsinthisClause5,everySub-ContractorshallhavethebenefitofallprovisionshereinbenefitingtheCarrier

includingclause21hereof,thejurisdictionandlawclause,asifthisbilloflading(includingClause21hereof)wereexpresslyforitsbenefitandinenteringinto

thiscontracttheCarrier,totheextentoftheseprovisions,doessonotonlyonhisownbehalfbutalsoasagentortrusteeforsuchSub-Contractorandsuch

Sub-Contractorshalltothisextentbeorbedeemedtobepartiestothiscontract.

R\'SLIABILITY

6.1USCARRIAGE

(a)ForUSCarriagethisbillofladingshallhaveeffectsubjecttotheprovisionsofCOGSAandtothePomereneActregardlessofwhethersaidActwouldapply

visionsofCOGSAareincorporatedhereinandsaveasotherwiseprovidedhereinshallapplytheentiretimetheGoodsareinthe

Carrier\'scustody,includingbeforeloadingandafterdischargeaslongastheGoodsremaininthecustodyoftheCarrieroritsSub-Contractor,including

gcontainedhereinistobedeemedassurrenderbytheCarrierofitsrights,immunities,exemptionsorlimitationsoran

forclause6.2,everyotherterm,condition,limitation,defenceandlibertywhatsoever

containedinthisbillofladingshallapplytoUSCarriage.

(b)WheretheMerchantrequeststheCarriertoprocureCarriagebyaninlandcarrierintheUnitedStatesofAmerica,suchCarriageshallbeprocuredbythe

CarrierasagentonlytotheMerchantandsuchCarriageshallbesubjecttotheinlandcarrier’,foranyreason,the

Carrierisdeniedtherighttoactasagentonlyatthesetimes,hisliabilityforloss,damageordelaytotheGoodsshallbedeterminedinaccordancewithclause

6hereof.

(c)NeithertheCarriernortheVesselshallinanyeventbeorbecomeliableinanamountexceedingUS$

limitationpurposesunderCOGSA,itisagreedthatthemeaningoftheword\"package\"shallbeanypalletisedand/orunitisedassemblageofcartonswhichhas

beenpalletisedand/orunitisedfortheconvenienceoftheMerchant,regardlessofwhethersaidpalletorunitisdisclosedonthefronthereof.

6.2NON-USCARRIAGE

(a)WheretheNonUSCarriageisPorttoPortTransport:

(i)theperiodofresponsibilityoftheCarrierforanylossordamagetotheGoodsshallcommenceonlyatth聂鲁达《最后的玫瑰》原文 emomenttheGoodsareloadedonboardthe

VesselandshallendwhentheGoodshavebeendischargedfromtheVessel.

(ii)theliabilityoftheCarrierforlossofordamagetotheGoodsshallbedeterminedinaccordancewithanynationallawmakingtheHagueRulesorHague-

VisbyRulescompulsorilyapplicabletobillsofladingandifnosuchnationallawiscompulsorilyapplicable,theninaccordancewiththeHague-VisbyRules

Article1-8inclusive(excludingArticle3rule8).

(iii)theCarriershallbeundernoliabilitywhatsoeverforlossordamagetotheGoodswhileinitsactualorconstructivepossessionbeforeloadingorafter

discharge,hstandingtheforegoing,incaseandtotheextentthatanyapplicablecompulsorylawprovidestothecontrary,the

Carriershallhavethebenefitofeveryright,defence,limitationandlibertyintheHagueRules,Hague-VisbyRules,oranyotherrulesasappliedbyclause(b)

duringsuchadditionalcompulsoryperiodofresponsibility,notwithstandingthatthelossordamagedidnotoccuratsea.

(iv)iftheGoodsaredischargedataportotherthanthePortofDischargeorataPlaceofDeliveryinsteadofthePortofDischarge,andtheCarrierinits

absolutediscretionagreestoarequesttosucheffect,suchfurtherCarriagewillbeundertakenonthebasisthatthisbillofladingistoapplytosuchCarriage

asiftheultimatedestinationagreedwiththeMerchanthadbeenenteredonthefrontsideofthisbillofladingasthePortofDischargeorPlaceofDelivery.

(b)WheretheNonUSCarriageisMultimodalTransportandtheMerchantcanproveatwhatstagethelossordamageoccurred:

(i)theliabilityoftheCarriershallbedeterminedbytheprovisionscontainedinanyinternationalconventionornationallaw,whichappliescompulsorilytothe

relevantstageoftheMultimodalTransportandcannotbedepartedfrombyprivatecontracttothedetrimentoftheclaimant;and

(ii)whereaninternationalconventionornationallawdoesnotapplycompulsorilytothestageofthemovementwherethelossordamageoccurred,anyliability

oftheCarriershallbedeterminedbysub-clause6.2(c).

(c)WheretheNonUSCarriageisMultimodalTransportbuttheMerchantcannotproveatwhatstagethelossordamageoccurredorifthissub-clauseapplies

pursuanttosub-clause6.2(b):

(i)theCarriershallberelievedofliabilityforanylossordamageifsuchlossordamagearoseorresultedfrom:

(A)thewrongfulactorneglectoftheMerchantoranyPersonactingonbehalfoftheMerchantotherthantheCarrieroritsservant,agentorSub-Contractor;

(B)compliancewiththeinstructionsofaPersonentitledtogivethem;

(C)thelackof,ordefectiveconditionofpackinginthecaseofGoodswhich,bytheirnature,areliabletowastageortobedamagedwhennotpackedor

whennotproperlypacked;

(D)handling,loading,stowageorunloadingoftheGoodsbytheMerchant,oranypersonactingonbehalfoftheMerchant;

(E)inherentviceoftheGoods;

(F)insufficiencyorinadequacyofmarksornumbersontheGoods,coverings,orunitloads;

(G)strikesorlockoutsorstoppageorrestraintoflabourfromwhatevercausewhetherpartialorgeneral;

(H)anact,neglectordefaultinthenavigationormanagementoftheVesseloccurringduringcarriagebywater;

(I)fire,unlessthefirewascausedbytheactualfaultorprivityoftheCarrierorlackofexerciseofduediligencetomaketheVesselseaworthy,properlyto

man,equipandsupplytheVesselortomakeherfitandsafeforthereception,carriageandpreservationoftheGoods;forwhichtheMerchantshallhavethe

burdenofproof

(J)anuclearincident;

(K)anyothercauseoreventwhichtheCarriercouldnotavoidandtheconsequenceswhereofitcouldnotpreventbytheexerciseofreasonablediligence.

(ii)Theburdenofproofthatthelossordamagewasduetooneormoreofthecauses,orevents,specifiedinsub-clause6.2(c)(i)shallrestupontheCarrier.

WhentheCarrierestablishesthatinthecircumstancesofthecase,thelossordamagecouldbeattributedtooneormoreofthecauses,orevents,specified

insub-clause6.2(c)(i),imantshall,however,beentitledtoprovethatthelossordamagewasnot,infact,

causedeitherwhollyorpartlybyoneormoreofthesecausesorevents.

(iii)Wherethelossordamagewaspartlycausedbyoneofthecausesatsub-clause6.2(c)(i)theCarriershallonlybeliabletotheextentthatanothercause

contributedtothelossordamage.

(d)CompensationandLimitation

(i)SubjecttotheCarrier’srighttolimitliabilityasprovidedforwithinthisbilloflading,theCarrier’sliabilityshallbecalculatedbyreferencetothevalueofthe

GoodsattheplaceandtimeatwhichtheywereacceptedforCarriage.

(ii)WheretheHagueRules,Hague-VisbyRulesoranyotherrulescompulsorilyapplytotheCarriagetheCarrier’sliabilityshallinnoeventexceedthe

amountsprovidedforintheapplicablerules.

(iii)Inallothercasescompensationshallnotexceedthelimitationofliabilityof2SDRsperkiloofgrossweightoftheGoodslost,damagedorinrespectof

whichtheclaimarises.

(e)Time-bar

(i)WheretheHagueRules,Hague-VisbyRulesoranyotherrulesapplycompulsorilytotheCarriage,thetimelimitforbringingclaimswillbeasprescribedby

theapplicablerules.

(ii)Inallothercases,theCarriershallbedischargedofallliabilitywhatsoeverunlesssuitisbroughtwithinninemonthsafterthedeliveryoftheGoodsorthe

datewhentheGoodsshouldhavebeendelivered.

6.3LIABILITYAPPLICABLETOBOTHUSCARRIAGEANDNON-USCARRIAGE

(a)TheCarriershallnot,inanycase,beliableforanamountgreaterthantheactuallosstothePersonentitledtomaketheclaim.

(b)AdValorem:declaredvalueofPackageorshippingunit.

TheCarrier’sliabilitymaybeincreasedtoahighervaluebyadeclarationinwritingofthevalueoftheGoodsbytheMerchantupondeliverytotheCarrierof

theGoodsforshipment,suchhighervaluebeinginsertedonthefrontofthisbillofladinginthespaceprovidedand,ifrequiredbytheCarrier,extrafreight

case,iftheactualvalueoftheGoodsshallexceedsuchdeclaredvalue,thevalueshallneverthelessbedeemedtobethedeclaredvalue

andtheCarrier’sliability,ifany,shallnotexceedthedeclaredvalueandanypartiallossordamageshallbeadjustedprorataonthebasisofsuchdeclared

value.

(c)Delay,ConsequentialLoss

Saveasotherwiseprovidedherein,theCarrierdoesnotundertakethattheGoodsshallarriveatanyplaceatanyparticulartimeandshallinnocircumstances

beliablefordirect,indirectorconsequentiallossotprejudicetothe

foregoing,iftheCarrierisfoundliablefordelay,liabilityshallbelimitedtotheFreightapplicabletotherelevantstageofthetransport.

(d)NoticeofLossorDamage

TheCarriershallbedeemedprimafacietohavedeliveredtheGoodsasdescribedinthisbillofladingunlessnoticeoflossof,ordamageto,theGoods,

indicatingthegeneralnatureofsuchlossordamage,shallhavebeengiveninwritingtotheCarrierortohisrepresentativeattheplaceofdeliverybeforeorat

thetimeofremovaloftheGoodsintothecustodyofthePersonentitledtodeliverythereofunderthisbillofladingor,ifthelossordamageisnotapparent,

withinthreeconsecutivedaysthereafter.

(e)ThedefencesandlimitsofliabilityprovidedforinthisbillofladingshallapplyinanyactionagainsttheCarrierwhethertheactionbefoundincontract,

bailment,tort,breachofexpressorimpliedwarrantyorotherwise.

(f)TheMerchantshallIndemnifytheCarrieragainstanyclaimorliability(andanyexpensearisingtherefrom)arisingfromtheCarriageoftheGoodsinsofar

assuchclaimorliabilityexceedstheCarrier’sliabilityunderthisbilloflading.

NT\'SWARRANTIESANDRESPONSIBILITIES

7.1EveryPersondefinedasMerchantisjointlyandseverallyliabletotheCarrierforalltheMerchant\'sundertakings,responsibilitiesandliabilitiesunderorin

connectionwiththisbillofladingandtopaytheFreightdueunderitwithoutdeductionorset-off.

7.2TheMerchantwarrantsthatinagreeingtothisbillofladingheisoristheagentofandhastheauthorityofthePersonowningorentitledtothepossession

oftheGoodsandthisbillofladingoranyPersonwhohasapresentorfutureinterestintheGoodsandthisbilloflading.

7.3ThedescriptionandparticularsoftheGoodssetoutonthefacehereofarefurnishedbytheMerchantandtheMerchantwarrantstotheCarrierthatthe

descriptionandparticularsincluding,butnotlimitedto,weight,content,measure,quantity,quality,condition,marks,numbersandvaluearecorrect.

7.4TheMerchantshallcomplywithallapplicablelaws,regulationsandrequirements(includingbutnotlimitedtoanyimposedatanytimebeforeorduringthe

Carriagerelatingtoanti-terrorismmeasures)ofcustoms,portandotherauthoritiesandshallbearandpayallduties,taxes,fines,imposts,expensesand

losses(includingwithoutprejudicetothegeneralityoftheforegoing,freightforanyadditionalCarriageundertaken)incurredorsufferedbyreasonthereofor

byreasonofanyillegal,incorrectorinsufficientmarking,numberingoraddressingoftheGoods.

7.5TheMerchantundertakesthattheGoodsarepackedinamanneradequatetowithstandtheordinaryrisksofCarriagehavingregardtotheirnatureandin

compliancewithalllaws,chantshallbeliableforanyloss,damageorinjurycausedbyfaulty

orinsufficientpackingorbyfaultyloadingorpackingwithinContainerswhensuchloadingorpackinghasbeenperformedbytheMerchantoranbehalfofthe

Merchant,orbythedefectorunsuitabilityoftheContainerswhensuppliedbytheMerchant,andshallIndemnifytheCarrieragainstanyadditionalexpenses

socaused.

7.6AnyContainerreleasedintothecareoftheMerchantforpacking,unpackingoranyotherpurposewhatsoevershallbeatthesoleriskoftheMerchant

untilproperchantfailstodelivertheContaineratsuchprescribedtimeand

place,theMerchantshallpaythechantisresponsibleforreturningthe

charges,chantshallberesponsibleforanylossand/ordamageto,andanyliabilitiescausedorincurred

bysuchContainerwhilstinitscustodyand/orcontrol.

7.7TheMerchantshallbeliablefortheloss,damage,contamination,soiling,detentionordemurragebefore,duringandaftertheCarriageofproperty

(including,butnotlimitedto,Containers)oftheCarrierorSub-Contractor(otherthantheMerchant)causedbytheMerchantoranyPersonactingonhis

behalforforwhichtheMerchantisotherwiseresponsible.

7.8TheMerchantshallIndemnifytheCarrieragainstanyloss,damage,claim,liabilityorexpensewhatsoeverarisingfromanybreachoftheprovisionsofthis

clause7orfromanycauseinconnectionwiththeGoodsforwhichtheCarrierisnotresponsible.

OUSGOODS

8.1NoGoodswhichareormaybecomedangerous(whetherornotsolistedincodes),inflammable,damaging,injurious(includingradioactivematerials),

noxiousorwhichareormaybecomeliabletodamageanypropertyorPersonwhatsoevershallbetenderedtotheCarrierforCarriagewithout:

(a)theCarrier’sexpressconsentinwriting;and

(b)theContainerand/orothercoveringinwhichtheGoodsaretobetransportedand/ortheGoodsthemselvesbeingdistinctlymarkedontheoutsidesoasto

indicatethenatureandcharacterofanysuchGoodsandsoastocomplywithallapplicablelaws,regulationsand/orrequirements.

8.2IftheMerchantfailstoprovidesuchinformationandtheCarrierisunawareofthedangerousnatureoftheGoodsandthenecessaryprecautionstobe

takenandif,atanytime,theyaredeemedtobeahazardtolifeorproperty,theymayatanyplacebeunloaded,destroyedorrenderedharmless,as

circumstancesmayrequire,withoutcompensation,andtheMerchantshallbeliableforallloss,damage,

burdenofproofthattheCarrierknewtheexactnatureofthedangerconstitutedbythecarriageoftheGoodsshallrestupontheMerchant.

8.3TheMerchantshallcomplywithruleswhicharemandatoryaccordingtothenationallaworbyreasonofinternationalconvention,relatingtothecarriageof

oodsshippedwiththeknowledgeoftheCarrierastotheirdangerousnatureshallbecameadangertotheshipor

cargo,theymayinlikemannerbelandedatanyplaceordestroyedorrenderedinnocuousbytheCarrierwithoutliabilityonthepartoftheCarrierexceptto

GeneralAverage,ifany.

8.4TheMerchantshallIndemnifytheCarrieragainstanyloss,damage,claim,liabilityorexpensewhatsoeverarisingfromanybreachoftheprovisionsofthis

clause8orfromanycauseinconnectionwiththeGoodsforwhichtheCarrierisnotresponsible.

NERS

9.1GoodsmaybeConsolidatedbytheCarrierinoronContainersandGoodsmaybeConsolidatedwithGoodsownedbyotherPersons.

9.2ThetermsofthisbillofladingshallgoverntheresponsibilityoftheCarrierinconnectionwithorarisingoutofthesupplyofaContainertotheMerchant,

whethersuppliedbeforeoraftertheGoodsarereceivedbytheCarrierordeliveredtotheMerchant.

9.3IfaContainerhasbeenConsolidatedbyoronbehalfoftheMerchant,theCarriershallnotbeliableforlossofordamagetotheGoods:

(a)causedbythemannerinwhichtheContainerhasbeenstuffed;

(b)causedbytheunsuitabilityoftheGoodsforcarriageinContaineractuallyused;

(c)causedbytheunsuitabilityordefectiveconditionoftheContaineractuallyusedprovidedthatwheretheContainerhasbeensuppliedbyoronbehalfofthe

Carrier,thisparagraph(iii)shallonlyapplyiftheunsuitabilityordefectiveconditionwouldhavebeenapparentuponreasonableinspectionbytheMerchantat

orpriortothetimewhentheContainerwasstuffed;

(d)iftheContainerisnotsealedatthecommencementoftheCarriageexceptwheretheCarrierhasagreedtosealtheContainer.

9.4WheretheCarrierisinstructedtoprovideaContainer,intheabsenceofawrittenrequesttothecontraryacceptedbytheCarrier,theCarrierisnotunder

anobligationtoprovideaContainerofanyparticulartypeorquality.

9.5Goodsstowedinclosedcontainersotherthanflatsorpallets,whetherbytheCarrierortheMerchant,maybecarriedondeck,onanopenlorry,onan

opentrailer,ods,whetherornotsocarried,shallparticipateinGeneralAverageandshall

bedeemedtobewithinthedefinitionofGoodsforthepurposesoftheHagueRulesandHague-VisbyRules.

9.6Theprovisionsofclause6alsoapplywithrespecttotrailers,transportabletanks,flatsandpalletswhichhavenotbeenfilled,packedorstowedbythe

Carrier.

9.7TheMerchantshallIndemnifytheCarrieragainstanyloss,damage,claim,liabilityorexpensewhatsoeverarisingfromanybreachoftheprovisionsofthis

clause9orfromanycauseinconnectionwiththeGoodsforwhichtheCarrierisnotresponsible.

ATURECONTROLLEDCARGO

10.1TheMerchantundertakesnottotenderforCarriageanyGoodswhichrequiretemperaturecontrolwithoutpreviouslygivingwrittennotice(andfillinginthe

boxonthefrontofthisbillofladingifthisbillofladinghasbeenpreparedbytheMerchantoraPersonactingonhisbehalf)oftheirnatureandparticular

temperaturerangetobemaintainedandinthecaseofatemperaturecontrolledContainerConsolidatedbyoronbehalfoftheMerchantfurtherundertakes

thattheContainerhasbeenproperlypre-cooled,thattheGoodshavebeenproperlyConsolidatedintheContainerandthatitsthermostaticcontrolshavebeen

properlysetbytheMerchantbeforereceiptoftheGoodsbytheCarrier.

10.2IftheaboverequirementsarenotcompliedwiththeCarriershallnotbeliableforanylossofordamagetotheGoodscausedbysuchnon-compliance

andtheMerchantshallIndemnifytheCarrierforanyresultinglosstheCarriersuffers.

10.3TheCarriershallnotbeliableforanylossofordamageto杜甫的所有古诗 theGoodsarisingfromdefects,derangement,breakdown,stoppageofthetemperature

controllingmachinery,plant,insulationoranyapparatusoftheContainer,providedthattheCarriershallbeforeoratthebeginningoftheCarriageexercise

10.4TheMerchantshallIndemnifytheCarrieragainstanyloss,damage,claim,liabilityorexpensewhatsoeverarisingfromanybreachoftheprovisionsof

thisclause10orfromanycauseinconnectionwiththeGoodsforwhichtheCarrierisnotresponsible.

TIONOFGOODS

11.1TheCarrieroranyPersonauthorisedbytheCarriershallbeentitled,butundernoobligation,toopenand/orscananyContainerorpackageatanytime

andtoinspectthecontents.

11.2IfitappearsatanytimethattheGoods,oranypartofthem,cannotsafelyorproperlybecarried,orcarriedfurther,eitheratallorwithoutincurringany

additionalexpenseortakingmeasuresinrelationtotheContainerorGoods,theCarriermaywithoutnoticetotheMerchant(butashisagentonly)takeany

measuresand/orincuranyreasonableadditionalexpensetocarryorcontinuetheCarriagethereof,and/ortosellordisposeoftheGoodsand/ortoabandon

anyloss,delayordamagehowsoeverarisingfromanyactionorlackofactionunderthisclause.

SANDROUTEOFTRANSPORTATION

12.1TheCarriermayatanytimeandwithoutnoticetotheMerchant:

(a)useanymeansoftransportorstoragewhatsoever;

(b)loadorcarrytheGoodsonanyVesselwhethernamedonthefronthereofornot;

(c)transfertheGoodsfromoneconveyancetoanotherincludingtransshippingorcarryingthesameonaVesselotherthantheVesselnamedonthefront

hereoforbyanyothermeansoftransportwhatsoeverandeventhoughtransshipmentorforwardingoftheGoodsmaynothavebeencontemplatedorprovided

forherein;

(d)atanyplaceunpackandremoveGoodswhichhavebeenstuffedinoronaContainerandforwardthesameinanymannerwhatsoever;

(e)proceedatanyspeedandbyanyrouteinhisdiscretion(whetherornotthenearestormostdirectorcustomaryoradvertisedroute)andproceedtoor

stayatanyplacewhatsoeveronceormoreoftenandinanyorder;

(f)loadorunloadtheGoodsfromanyconveyanceatanyplace(whetherornottheplaceisaportnamedonthefronthereofastheintendedPortofLoading

orintendedPortofDischarge);

(g)complywithanyordersorrecommendationsgivenbyanygovernmentorauthorityoranyPersonorbodyactingorpurportingtoactasoronbehalfof

suchgovernmentorauthorityorhavingunderthetermsoftheinsuranceontheconveyanceemployedbytheCarriertherighttogiveordersordirections;

(h)permittheVesseltoproceedwithorwithoutpilots,totoworbetowedortobedry-dockedwithorwithoutcargoonboard;

(i)permittheVesseltocarrylivestock,Goodsofallkinds,dangerousorotherwise,contraband,explosives,munitionsorwarlikestoresandsailarmedor

unarmed.

12.2Thelibertiessetoutinsub-clause12.1abovemaybeinvokedbytheCarrierforanypurposeswhatsoeverwhetherornotconnectedwiththeCarriageof

theGoods,includingbutnotlimitedtoloadingorunloadingthegoods,bunkering,undergoingrepairs,adjustinginstruments,towingorbeingtowed,sailingwith

orwithoutpilots,drydocking,pickinguporlandinganyPersons,includingbutnotlimitedtoPersonsinvolvedwiththeoperationormaintenanceoftheVessel

ngdoneinaccordancewithsub-clause12.1aboveoranydelayarisingtherefromshallbedeemedtobewithin

thecontractualCarriageandshallnotbeadeviationofwhatsoevernatureordegree.

13.1UnlessitisspecificallystipulatedthattheGoodswillbecarriedunderdeckonthefrontofthisbilloflading,theGoods(whethercontainerisedornot)may

bestowedonorunderdeckwithoutnoticetotheMerchantandanydeckstowageshallnotbeadeviationofwhatsoevernatureordegree.

13.2Ifcarriedondeck,theCarriershallnotberequiredtonote,ods

whethercarriedondeckorunderdeckshallparticipateinGeneralAverageand,subjecttoClause13.3,suchGoodsshallbedeemedtobewithinthe

definitionofGoodsforthepurposesoftheHagueRulesoranylegislationmakingsuchrules,COGSAortheHague-VisbyRulescompulsorilyapplicabletothis

billoflading.

13.3Goodswhicharestatedonthefrontofthisbillofladingtobecarriedondeck,andwhichareactuallycarriedondeck,arecarriedwithoutresponsibility

negligenceoranyothercausewhatsoever.

TIONANDDELIVERYOFTHEGOODS

14.1WhencollectionordeliverytakesplaceattheMerchant\'spremises,theplaceofcollectionordeliveryshallbetheusualplaceofloadingorunloadingthe

Goodsintoorfromthevehicleand:

(a)theCarriershallnotbeunderanyobligationtoprovideanyplant,powerorlabourwhichmayberequiredfortheloadingorunloadingatsuchpremises.

ThisshallbetheresponsibilityoftheMerchantathisownriskandexpense.

(b)anyassistancegivenbytheCarrieradditionaltotheforegoingisgivenentirelyattheMerchant\'sriskastodamagetoorlossofGoodsorinjuryto

Persons.

14.2IfatanytimetheCarriageisorislikelytobeaffectedbyanyhindrance,risk,delay,difficultyordisadvantageofanykind(includingtheconditionofthe

Goods),whensoeverandhowsoeverarising(whetherornottheCarriagehascommenced)theCarriermay:

(a)withoutnoticetotheMerchantabandontheCarriageoftheGoodsandwherereasonablypossibleplacetheGoodsoranypartofthemattheMerchant’s

disposalatanyplacewhichtheCarriermaydeemsafeandconvenient,notwithstandingthatanycharges,duesorotherexpensesmaybeorbecomepayable.

Ifcraftsareused,otherthanattherequestoftheMerchant,incircumstanceswheretheGoodsorthatpartthereofsodischargedcouldhavebeendischarged

ashorewithoutadditionaldelay,theGoods(orpartthereof,asthecasemaybe)shallneverthelessnotbedeemedtobedischargedforthepurposesofthis

clauseuntiltheyaredischargedfromsuchcraft,whereupondeliveryshallbedeemedtohavebeenmadeandtheresponsibilityoftheCarrierinrespectof

suchGoodsshallcease;

(b)withoutprejudicetotheCarrier’srighttosubsequentlyabandontheCarriageunderClause(a)14.2(a)above,continuetheCarriage.

(c)InanyeventtheCarriershallbeentitledtofullFreightonGoodsreceivedforCarriageandtheMerchantshallpayanyadditionalcostsresultingfromthe

abovementionedcircumstances.

14.3TheliabilityoftheCarrierinrespectoftheGoodsshallceaseonthedeliveryorotherdispositionoftheGoodsinaccordancewiththeordersor

recommendationsgivenbyanygovernmentorauthorityoranyPersoall

amounttoduedeliverytotheMerchant.

14.4AnymentionhereinofpartiestobenotifiedofthearrivaloftheGoodsissolelyforinformationoftheCarrier,andfailuretogivesuchnotificationshallnot

involvetheCarrierinanyliabilitynorrelievetheMerchantofanyobligationthereunder.

14.5IfdeliveryoftheGoodsoranypartthereofisnottakenbytheMerchantatthetimeandplacewhenandwheretheCarrierisentitledtocalluponthe

Merchanttotakedeliverythereof,theCarriershallbeentitledandwithoutprejudicetoanyotherrightsthathemayhaveagainsttheMerchantwithoutnoticeto

removefromaContainertheGoodsorthatpartthereofifConsolidatedinoronaContainerandtostoretheGoodsorthatpartthereofashore,afloat,inthe

openorundercoveratthesoleriskandexpenseoftheMerchantandthecostsofsuchstorage(ifpaidorpayablebytheCarrieroranyagentorSub-

ContractoroftheCarrier)orageshallconstituteduedeliveryhereunder,and

thereupontheliabilityoftheCarrierinrespectoftheGoodsorthatpartthereofshallcease.

17.1FreightshallbedeemedfullyearneduponreceiptoftheGoodsbytheCarrierandshallbepaidandbenon-returnableinanyevent.

17.2TheMerchant\'sattentionisdrawntothestipulationsconcerningcurrencyinwhichtheFreightistobepaid,rateofexchange,devaluationandother

chstipulationastodevaluationexistsorisapplicableandifthecurrencyinwhichthe

FreightisquotedisdevaluedorrevaluedbetweenthedateoftheFreightagreementandthedatewhentheFreightispaid,thenallFreightshallbe

automaticallyandimmediatelychangedinproptshallbemadeinthe

currencynamedinthebilloflading,or,attheoptionoftheCarrier,inanothercurrencyspecifiedbytheCarrier.

17.3TheFreighthasbeencalcriershallbeentitledtoproductionofthe

commercialinvoicefortheGoodsortruecopythereofandtoinspect,reweigh,re-measureandrevaluetheGoodsandiftheparticularsarefoundbythe

Carriertobeincorrect,itisagreedthatwithoutprejudicetotherightsoftheCarrierasperclause11asumequaleithertofivetimesthedifferencebetween

thecorrectFreightandtheFreightchargedortodoublethecorrectFreightlesstheFreightcharged,whicheversumisthesmaller,shallbepayableas

liquidateddamagestotheCarriernotwithstandinganyothersumhavingbeenstatedinthisbillofladingastheFreightpayable.

17.4AllFreightshallbepaidwithoutanyset-off,counter-claim,deductionorstayofexecution.

17.5DespitetheacceptancebytheCarrierofinstructionstocollectFreightorotherexpensesfromanyotherPersoninrespectofthetransportunderthisbill

oflading,theMerchantshallremainresponsibleforsuchmoniesonreceiptofevidenceofdemandandtheabsenceofpaymentforwhateverreason.

17.6Alldues,taxesandchargesleviedontheGoodsandotherexpensesinconnectiontherewithshallbepaidbytheMerchant.

17.7TheMerchantshallreimbursetheCarrierforanycostsfordeviationordelayoranyotherincreaseofcostsofwhatevernaturecausedbywar,warlike

operations,epidemics,strikes,governmentdirectionsorforcemajeure.

18.1TheCarriershallhavealienonGoodsandanydocumentsrelatingtheretoforallsumswhatsoeverdueatanytimetotheCarrierunderthisbilloflading

andforGeneralAveragecontributionstowhomsoeverdue.

18.2TheCarriershallalsohavealienontheGoodsandanydocumentsrelatingtheretoforallsumsduefromtheMerchanttotheCarrierunderanyother

contract.

18.3TheCarriermayexercisehislienatanytimeandatanyplaceinhissolediscretion,ventanylienshall

(a)survivethedeliveryoftheGoodsand(b)extendtocoverthecostofrecoveringanysumsdue.

18.4ToenforceandsatisfytheCarrier\'slien,theCarriershallhavetherighttosellorotherwisedisposeoftheaforementionedGoodsanddocumentsby

publicauctionorprivatetreatyattheMerchant’sexpenseandintheMerchant’snameandwithoutanyliabilitytowardstheMerchant,providedthattheCarrier

hasusedreasonableeffortstonotifytheshipperandtheconsigneeshownonthefrontsideoftheseawaybillpriortoanysaleorotherdisposalandthatthe

CarrierwillpassontotheMerchantanyproceedsofasaleorotherdisposalexceedingthesumsdueandthecostsrelatingtothesaleorotherdisposal.

IONOFTHECONTRACT

19.1NoservantoragentoftheCarriershallhavepowertowaiveorvaryanyofthetermshereofunlesssuchwaiverorvariationisinwritingandisspecifically

authorisedorratifiedinwritingbyadirectororofficeroftheCarrierwhohastheactualauthorityoftheCarriertowaiveorvary.

LINVALIDITY

20.1Ifanyprovisioninthisbillofladingisheldtobeinvalidorunenforceablebyanycourt,tribunalorregulatoryorselfregulatoryagencyorbody,such

idityoftheremainingprovisionsshallnotbeaffectedtherebyandthisbilloflading

ICTIONANDLAW

21.2ForNonUSCarriage,disputesarisingunderthisbillofladingshallbedeterminedbythecourtsofHongKongandinaccordancewiththelawsofHong
